ABOUT NATIONAL DENTEX

National Dentex Corporation, headquartered in Natick, Massachusetts, a suburb of Boston, is the largest operator of dental laboratories in the United States. It serves an active customer base of over 28,000 dentists through its 42 full service laboratories and 4 branches located in 28 states and one Canadian Province. The Company's dental laboratories use the most advanced technology and state-of-the-art products and materials available. They are committed to fine craftsmanship, attention to detail and unmatched personalized service. Each laboratory operates as its own profit center and is managed locally generating growth through expanded services. Easing many of the daily burdens of operation, NDX provides the security and expanded resources that come with corporate support.

History

The company was founded in 1982 as H & M Laboratory Services, Inc., a Massachusetts corporation, which acquired six full-service laboratories and related branch laboratories from Healthco, Inc. In 1983, the Company changed its name to National Dentex Corporation and acquired 20 additional full-service dental laboratories from Lifemark Corporation. Between 1983 and 1993 the company focused its attention on the development of strong local management and trained staff with incentives tied to laboratory performance. In December 1993 the Company successfully completed an Initial Public Offering ("IPO"). The purpose of this IPO was to provide an acquisition fund which when combined with its available bank line and a publicly traded entity would give the Company the necessary resources to accelerate its growth in a highly fragmented industry. Since 1993 sales have grown from $30,624,000 to over $160,000,000 in 2009. In July 2010, National Dentex and GeoDigm, a technology based manufacturing and laboratory company, reached an agreement to be merged into a privately owned portfolio company of Welsh, Carson, Anderson and Stowe.

Objective

The Company's main objective is to remain the leading operator of dental laboratories by acquiring additional laboratories and by improving laboratory profitability at existing laboratories. We believe profit should be the natural result of quality products, customer service and employee appreciation. At National Dentex, we focus our acquisition activities on both full-service dental laboratories with annual sales in excess of $3,000,000 and dental laboratories that can be integrated with existing Company operations.
